These Terms and Conditions ("Terms") govern your access to and use of the PharaohVault platform, website, applications, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree, you may not access or use the Service.

1. Overview of the Service

PharaohVault provides a platform that allows users to accumulate physical gold and silver over time using spot-linked pricing. The Service is designed for long-term ownership and physical custody of precious metals. PharaohVault is not a bank, broker-dealer, investment advisor, or commodities exchange.

2. Eligibility

To use the Service, you must: • Be at least 18 years old • Have the legal capacity to enter into a binding agreement • Provide accurate and complete information during registration We reserve the right to refuse or terminate access at our discretion, subject to applicable law.

3. Account Registration & Security

You are responsible for: • Maintaining the confidentiality of your login credentials • All activity that occurs under your account You agree to notify PharaohVault immediately of any unauthorized access or suspected security breach.

4. Pricing & Fees

No Membership or Subscription Fees

PharaohVault does not charge membership, subscription, or account maintenance fees.

Target Price Model

When you contribute funds, precious metals are accumulated using a target price, which is based on the market spot price plus an operational component. The target price includes, without limitation: • Metal sourcing • Secure vault storage • Insurance coverage • Shipping and handling • Platform operations There are no separate withdrawal or shipping fees charged at the time of delivery. All pricing is disclosed at the time metal is accumulated.

5. Accumulation & Lot Tracking

• Gold is measured in grams • Silver is measured in ounces • Each accumulation is recorded as a separate lot with its own acquisition date and quantity Lots are tracked independently within your account.

6. Holding Period & Withdrawals

Each lot is subject to a mandatory 60-day holding period before it becomes eligible for physical withdrawal. • The holding period applies individually to each lot • New accumulations start their own 60-day period • No withdrawal fees or penalties are charged once a lot becomes eligible Minimum withdrawal thresholds may apply.

7. Storage & Custody

Accumulated metals are held in professional, insured vault storage facilities selected by PharaohVault. Metals are held on your behalf and internally accounted for by metal type and weight. PharaohVault does not guarantee segregated storage unless expressly stated.

8. Delivery of Physical Metals

Once eligible, you may request physical delivery of accumulated metals. • Standard shipping and handling are included in the target price • Delivery timelines may vary based on logistics and availability • Delivery is subject to geographic limitations and applicable laws Risk of loss transfers upon delivery in accordance with applicable shipping terms.

9. Market Risk & No Investment Advice

Precious metals prices fluctuate based on market conditions. • PharaohVault does not provide investment, tax, or legal advice • No guarantees are made regarding price performance or future value • Past price movements do not predict future results You are solely responsible for your investment decisions.

10. Taxes

You are responsible for understanding and complying with all applicable tax obligations related to your use of the Service, including reporting capital gains or other taxable events. PharaohVault does not provide tax advice.

11. Prohibited Use

You agree not to: • Use the Service for unlawful purposes • Attempt to manipulate pricing or system integrity • Circumvent holding periods or safeguards • Access or interfere with systems without authorization Violations may result in account suspension or termination.

12. Suspension & Termination

PharaohVault may suspend or terminate your account if: • You violate these Terms • Required verification cannot be completed • Use of the Service presents legal, regulatory, or security risk Termination does not eliminate obligations incurred prior to termination.

13. Cancellation of Contributions & Account Access

Users may cancel their recurring contributions at any time

Through their account settings or by contacting PharaohVault support.

Effect of Cancellation

• Cancellation stops future contributions only • Any contribution already processed will still be applied according to these Terms • Cancellation takes effect at the end of the current billing cycle There are no cancellation fees.

Account Access After Cancellation

After cancellation: • You will retain full access to your PharaohVault account • Your accumulated gold or silver will remain securely stored on your behalf • You may continue to view your holdings and account history Cancellation does not result in forfeiture of accumulated metals.

Withdrawals After Cancellation

Users who cancel contributions may still request physical delivery of accumulated metals, subject to: • The 60-day holding period per lot • Minimum withdrawal thresholds • Applicable laws and geographic limitations PharaohVault does not charge separate withdrawal or shipping fees, as these costs are included in the target price at the time of accumulation.

Account Closure

If you wish to fully close your account, you must first withdraw all eligible accumulated metals or otherwise arrange disposition in accordance with these Terms. PharaohVault reserves the right to maintain records as required by law.

14. Limitation of Liability

To the fullest extent permitted by law, PharaohVault shall not be liable for: • Market losses • Indirect, incidental, or consequential damages • Delays due to force majeure or third-party service providers Our total liability shall not exceed the amount of fees paid to PharaohVault in connection with the affected transaction.

15. Indemnification

You agree to indemnify and hold harmless PharaohVault and its affiliates from claims arising out of: • Your misuse of the Service • Violation of these Terms • Violation of applicable law

16. Modifications to the Terms

We may update these Terms from time to time. Material changes will be communicated through the platform or website. Continued use of the Service constitutes acceptance of the updated Terms.

17. Governing Law
